Terms of Service

These Terms of Service ("Terms") govern access to and use of the CRM Messaging application and related services (the "Service") provided by Coauths Co., Ltd. ("Coauths", "we", "us").

By connecting a messaging channel or otherwise using the Service, the connecting clinic ("Customer", "you") agrees to these Terms.

1. The Service

The Service lets a clinic connect third-party messaging channels (such as Facebook Messenger, Instagram, WhatsApp, LINE, Zalo, KakaoTalk, WeChat, TikTok, and Telegram) and manage patient conversations from a unified inbox, together with related CRM features.

2. Accounts & Eligibility

You must be a legitimate business or healthcare provider and provide accurate account information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Customer Responsibilities

  • Maintain lawful ownership of, and authorization to use, the connected platform accounts (Facebook Pages, Instagram accounts, official accounts, bots, etc.).
  • Comply with each platform’s policies and terms (Meta Platform Terms, LINE Official Account guidelines, Tencent/WeChat terms, TikTok and Telegram terms, and others).
  • Obtain any consent from patients or end users that applicable law requires before messaging them.
  • Retain medical and business records as required by applicable regulation.
  • Use the Service only for lawful purposes and not to send unlawful, harassing, deceptive, or platform-policy-violating content.

4. Acceptable Use

You may not misuse the Service, attempt to gain unauthorized access to it, interfere with its operation, or use it to violate any law or third-party right. We may suspend channel connections that platforms flag for policy violations or that threaten the security or integrity of the Service.

5. Third-Party Platforms

The Service integrates with third-party messaging platforms that are outside our control. Your use of those platforms through the Service is also subject to their respective terms and policies. We are not responsible for changes, outages, or restrictions imposed by those platforms.

6. Data & Privacy

You retain ownership of the data you process through the Service. We process data in accordance with our Privacy Policy, available at https://coauths.com/privacy. With respect to data flowing through your connected channels, you act as the data controller and Coauths acts as your data processor.

7. Intellectual Property

The Service, including its software, design, and content (excluding Customer data), is owned by Coauths and protected by applicable intellectual-property laws. We grant you a non-exclusive, non-transferable right to use the Service during the term of these Terms.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. Message delivery depends on third-party platforms outside our control, and we do not warrant uninterrupted or error-free operation.

9. Limitation of Liability

To the maximum extent permitted by law, Coauths will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of the Service.

10. Termination

Either party may terminate these Terms on written notice. Upon termination, your right to use the Service ends, and you may export your data within 30 days, after which we may delete it in accordance with our Privacy Policy.

11. Governing Law

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws rules. Disputes arising under these Terms shall be subject to the jurisdiction of the competent courts in the Republic of Korea.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, by additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
